Operator Terms and Conditions

TimeFlys provides a digital platform that allows users to request, compare, and book private aircraft charter services from third-party operators (“Operators”). Please note:

• Aggregator Role: TimeFlys acts solely as an aggregator, connecting passengers with independent Operators who provide charter services. We do not own, operate, manage, or control any aircraft, nor do we employ any pilots, crew members, or staff associated with the charter services.
• No Direct Charter Services: TimeFlys does not itself offer charter flights, and we are not responsible for the operation, safety, or condition of the aircraft you book through our platform. All charters are provided by Operators, and all arrangements are directly between you and the Operator.
• This Agreement sets forth the terms and conditions under which the Operator will partner with TimeFlys to display aircraft quotes on the TimeFlys platform and receive new mission requests.

I. Commission Terms

1.1  The Operator agrees to pay TimeFlys 5% of the total cost of the chartered flight for every

accepted mission request from TimeFlys, including any counter offers accepted.

1.2  The commission shall be invoiced monthly, and payment is due within 30 days of the invoice

date.

1.3  If more than 30 days have passed from the due date without payment, this agreement will be

immediately terminated, and the Operator’s aircraft will be removed from the TimeFlys platform.

II. Cancellation

2.1  If the Operator or passenger cancels a mission, any amount paid by the passenger, including a

cancellation fee, remains subject to the 5% commission fee due to TimeFlys. The Operator must

notify TimeFlys immediately upon such cancellation.

III. Passenger Communication Policy

3.1  TimeFlys reserves the right to contact passengers at any stage of the scheduled mission to

confirm booking details, address any booking or inflight issues, and ensure passenger satisfaction.

3.2  After the completion of the flight, TimeFlys will reach out to passengers to gather feedback on

their experience and to ensure the quality of the services provided by both the Operator and

TimeFlys.

3.3  All communications with passengers will be conducted in compliance with applicable privacy

and data protection laws. TimeFlys will ensure that passengers' personal information is handled

with care and confidentiality.

IV. Compliance

4.1  The Operator must comply with all FAA Part 135 regulations and any other applicable laws

and maintain all necessary licenses and certifications.

V. Insurance

5.1  The Operator must maintain adequate liability insurance and provide proof of insurance

upon request by TimeFlys.VI. Indemnification and Liability

6.1 Each party agrees to indemnify, defend, and hold the other party harmless from any claims,

damages, losses, or expenses arising out of its own actions or failures.

6.2 TimeFlys disclaims liability for any issues arising from the operation of the aircraft or the

provision of services by the Operator.

VII. Termination

7.1  Either party can terminate the Agreement with 30 days' written notice.

7.2 Upon termination, any outstanding commissions must be paid, ongoing missions must be

completed, and data must be handled as specified.

VIII. Severability

8.1 If any provision of the Agreement is found to be void, the remaining provisions shall

remain enforceable.

IX. Estimated Pricing

9.1 The price provided at the time of a passengers booking request on TimeFlys is an estimated quote based on what the Operator might typically charge for the requested charter. This estimate is intended to provide passengers with an approximate cost and is not a guaranteed price.

9.2 Final pricing is subject to confirmation by the Operator and may vary based on factors such as flight specifics, scheduling adjustments, and additional fees or surcharges that may apply. By submitting a booking request, passengers acknowledge that the final price may differ from the initial estimate displayed on TimeFlys.
